Process

From traditional registry to digital transfer agent.

Tokenization here is a registry operation, not a financial product. The share is the share — the change is in how ownership is recorded, transferred, and observed.

The bridge

What actually changes, and what does not.

Stays the same

  • Your existing transfer agent and its relationship with the company
  • The outstanding share count and capital structure
  • Exchange listing, ticker, and public reporting obligations
  • Shareholder rights: voting, dividends, and entitlements

Changes

  • A registered digital transfer agent maintains a mirrored, on-chain book of record
  • Ownership can settle continuously rather than on a T+n cycle
  • The register becomes observable in near real time
  • Distribution reaches venues and holders the traditional rail does not serve

Stated plainly

Tokens represent direct 1:1 ownership of existing common shares. They are not derivatives, not synthetic exposure, and not a separate share class.

Timeline

Engagement to live token.

Indicative sequencing. Actual duration depends on counsel, board calendar, and the incumbent transfer agent's process.

  1. 01

    Engagement

    Weeks 1–2

Scoping call with management, review of the current register, capital structure, and reporting posture. We identify what your board will need to see before it can authorize anything.

  2. 02

    Authorization & counsel

    Weeks 2–6

Board resolution, securities counsel review, and coordination with your existing transfer agent. Disclosure language is prepared with counsel before anything is announced.

  3. 03

    Digital TA appointment

    Weeks 4–8

An SEC-registered digital transfer agent is appointed to operate alongside the incumbent. The book of record is reconciled and the bridge between registries is established and tested.

  4. 04

    Tokenization

    Weeks 8–10

Outstanding shares are represented 1:1 as on-chain records tied to the registry. Every token maps to a registered holder position — issuance and cancellation remain registry-driven.

  5. 05

    Live operations

    Ongoing

Continuous settlement, real-time register visibility, and ongoing coordination across corporate actions, transfers, and reporting cycles.
